Over UBI Banca
UBI Banca (Unione di Banche Italiane) was an Italian banking group formed in 2007 from the merger of Banche Popolari Unite and Banca Lombarda e Piemontese, headquartered in Bergamo and listed on Borsa Italiana until its acquisition by Intesa Sanpaolo in 2020; the legal merger was finalized in 2021 and UBI’s shares were delisted, with former shareholders receiving consideration under Intesa Sanpaolo’s public exchange offer. Before the takeover, UBI operated a multi-segment model covering retail and SME banking, corporate and investment services, private banking, asset management, leasing and factoring through specialized subsidiaries, and an online brokerage unit; its core markets were in northern and central Italy, and it was supervised under the European Central Bank’s Single Supervisory Mechanism. In 2017 it acquired and integrated the “good banks” carved out of Banca Marche, Banca Etruria and Carichieti, which reshaped its branch footprint and balance sheet. Following antitrust remedies tied to the Intesa transaction, a significant package of former UBI branches and customer relationships was transferred to BPER Banca, while the remainder was absorbed into Intesa Sanpaolo, with contracts and banking relationships continuing with the acquiring institutions under universal succession; deposit protection for eligible customers remains subject to the Italian deposit guarantee scheme consistent with EU rules. UBI-branded products are no longer marketed; new and existing customers are served by Intesa Sanpaolo or, where applicable, by BPER Banca, and legacy services such as leasing, factoring, and investment products were either integrated, rebranded, or discontinued during post-merger rationalization. For individuals or businesses seeking information on specific former UBI accounts, loans, or investment services, the relevant documentation and current terms are available through the successor banks’ channels, and UBI equity no longer trades as a standalone security.
